GRIN Affiliate Revshare Terms of Service<\/strong><\/strong><\/h1>\n\n\n\n

These GRIN Affiliate Revshare Terms of Service (\u201cAffiliate Revshare Terms<\/strong>\u201d) are supplemental to and form a part of the GRIN Subscription Services Agreement, located at https:\/\/grin.co\/legal-subscription-services-agreement\/<\/a>, unless the parties have fully executed an agreement that is intended to govern the purchase of the Grin Platform Services, between GRIN Technologies Inc. (\u201cGrin<\/strong>\u201d) and you as a Customer (the \u201cAgreement<\/strong>\u201d). These Affiliate Revshare Terms apply to your access and use of the Grin Affiliate Revshare features and functionality contained within the Services, including Affiliate Links (as defined herein). All references to the \u201cServices\u201d in the Agreement shall be deemed to include Affiliate Links. Except as expressly provided in these Affiliate Revshare Terms, all of the terms and provisions of the Agreement shall remain unmodified by these Affiliate Revshare Terms and will remain in full force and effect. To the extent there is a conflict between these Affiliate Revshare Terms and the Agreement, the Affiliate Revshare Terms shall supersede the Agreement specifically as it relates to Customer\u2019s use of the Affiliate Links.\u00a0 Any capitalized terms used herein have the same meaning as in the Agreement.

Acceptance of Affiliate Revshare Terms.<\/strong> Please review these Affiliate Revshare Terms carefully. By accessing Grin Affiliate Revshare or using the Affiliate Links, you agree to comply with and be legally bound by the terms, conditions and restrictions of these Affiliate Revshare Terms. BY ACCEPTING THESE GRIN AFFILIATE REVSHARE TERMS OR ACCESSING THE AFFILIATE LINKS, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS AND REPRESENT TO GRIN THAT YOU HAVE THE AUTHORITY TO ENTER INTO THESE GRIN AI TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE AFFILIATE REVSHARE TERMS, YOU SHOULD NOT CLICK ACCEPTANCE OF THESE GRIN AFFILIATE REVSHARE TERMS OR ACCESS THE AFFILIATE LINKS.<\/strong>

Affiliate Links; Affiliate Revenue Share. \u201cAffiliate Link(s)\u201d <\/strong>mean a URL with a unique identification generated by the Services that allows Grin and Customer to attribute web traffic and conversions for the purpose of Customer\u2019s payment of a commission to a Creator and payment of the Net Revenue Share to Grin in accordance with these Affiliate Revshare Terms. \u201cNet Affiliate Revenue<\/strong>\u201d means the total Affiliate Link revenue generated in a calendar month minus any amounts resulting from a return, refund or cancellation granted to the purchaser associated with the conversion for a period of thirty (30) days following the date of the conversion.

Invoicing. <\/strong>On or about the first day of each calendar month, invoices showing Customer\u2019s Net Affiliate Revenue for the prior calendar month and the Affiliate Revenue Share amount that is due and payable by Customer to Grin. \u201cAffiliate Revenue Share\u201d is equal to the Net Affiliate Revenue in any given calendar month multiplied by the Affiliate Revshare percentage associated with Customer\u2019s chosen Grin OS package, located at: https:\/\/grin.co\/grin-packages\/<\/a>.\u00a0

Payment of Affiliate Revenue Share.<\/strong> Unless otherwise stated on an invoice, Customer must be enrolled in Grin\u2019s automatic payment program and agrees to submit and maintain an active credit card on file with Grin at all times during this Agreement. Customer\u2019s credit card on file will be automatically charged for all monthly Affiliate Revenue Share amounts. Grin does not accept payment by paper check. Any invoiced amounts not timely paid will accrue interest at the rate of one and a half percent (1.5%) per month. If any undisputed amount owed by Customer is fifteen (15) days or more overdue, Grin may, with three (3) days\u2019 prior notice to Customer, without limiting Grin\u2019s other rights and remedies, suspend Customer\u2019s access to the Services until such amounts are paid in full.
